CONTINUED EDUCATION TERMS AND CONDITIONS

1) For the purposes of these Terms and Conditions, Continued Education consists of the events specified in the Invisalign Training Course Programme section under the then current Invisalign Pricing Terms and Conditions (the “Event(s)”). For each Event, you, the doctor, can earn fifty (50) points, with the maximum number of points being two hundred (200) points for Qualifying Educational Events per year starting on 1st July and ending 30th June, the following year.

2) The Events may be combined with other Invisalign discount programmes as communicated by Align Technology (“Align”). University residents, teaching and research staff and members of Research Institutions (“Research Institutions”) are not eligible to participate. Only practices where Align officially sells the Invisalign system are eligible.

3) Only doctors who are in good standing with Align (as solely determined by Align) including any of Align’s affiliates and compliant with all Align policies will be eligible to participate. Eligibility for this or any other Align Event is entirely at Align’s discretion.

4) Should you participate in professional discussions at an Event or where it is conducted via internet in a group forum or at a local venue (the “Discussion”) in which patient information may be shared, you undertake and warrant to have obtained the necessary consent and release from each and every patient for any material that you may share with other attendees and that you are solely responsible for adhering to any applicable data protection requirements in sharing your patient information in the Discussion. Furthermore, you acknowledge that your participation in the Discussion is solely for professional development and you agree not to copy, retain, or otherwise misuse any patient or other confidential material you may obtain through the Discussion process.

5) For the purposes of these Terms and Conditions, “Confidential Information” shall mean all tangible and intangible information disclosed by Align, whether intentionally or inadvertently, regardless of the manner or medium of disclosure or access (e.g. visual, oral, writing, electronic form) that is described as proprietary or confidential by Align and shall include, but is not limited to: contents, materials, software, products, designs, documentation, “know-how” and information related to manufacturing, production and training, in particular:

• a. contents and materials intentionally shared at an Event with you; and
• b. where an Event takes place at one of Align’s premises, any information inadvertently shared with you,

such Confidential Information of Align shall be treated with the same degree of care you accord to your own Confidential Information and may not be disclosed to any third party without Align’s prior written consent. All Align intellectual property therein are owned by Align. Align is not providing any license rights to the Confidential Information therein. All Confidential Information produced or distributed by Align in connection with the Events is expressly reserved and any unauthorised duplication, recording of the Events or publication or distribution is prohibited. Any violations will be prosecuted to the full extent of the law.

6) The Events are subject to the laws of your country of practice as indicated in your agreement. The parties hereby submit to the jurisdiction of the courts of your country of practice.

7) Align reserves the right to terminate the Events in whole or in part, or stop acceptance of further participants at the Events, or disallow a doctor to continue in the Events, and/or discontinue the Events at any time at its own discretion. Align may add or remove treatment options, training courses and/or products that qualify under the Events at any time at its discretion.

8) Align reserves the right to change dates and/or location of the Events, the speakers presenting or cancel an Event in whole or in part without notice, at any time, at its sole discretion, and with or without cause. Where possible, Align will arrange an alternative Event and if the Doctor agrees to the alternative Event or agrees to attend another Event on another date then no fees will be refunded to the Doctor. Align is not responsible for any other expenses such as travel, food, accommodation or other expenses that you may incur.
